Vendor Terms

These Vendor Terms & Conditions ("Agreement") outline the rights, responsibilities, and obligations between JaiDigitalAds.in ("Company") and the vendor ("Vendor") who provides products, services, or solutions to JaiDigitalAds.in. By registering as a vendor or supplying services to JaiDigitalAds.in, you agree to these terms. 1. Vendor Eligibility Vendors must be legally registered businesses/entities with valid licenses. Vendors must comply with applicable laws, regulations, and industry standards. Vendors must provide accurate company and tax-related information (e.g., GST, PAN). 2. Scope of Work Vendor shall provide agreed services/products as per purchase orders, work contracts, or partnership agreements. All deliverables must meet the quality, security, and compliance standards of JaiDigitalAds.in. Any subcontracting requires prior written approval from JaiDigitalAds.in. 3. Compliance with WhatsApp & Meta Policies Vendors must strictly follow WhatsApp Business Policy, Commerce Policy, and API compliance rules. Any violation leading to penalties, account suspension, or business loss will be the sole responsibility of the Vendor. 4. Pricing & Payments Pricing must be pre-approved and documented in writing. Payments will be made as per mutually agreed terms (e.g., 30/45 days, subscription-based, or commission-based). JaiDigitalAds.in reserves the right to withhold payments in case of disputes, service failure, or policy violations. 5. Confidentiality & Data Protection Vendors must keep all business data, client data, and communication records confidential. No vendor is permitted to share, resell, or misuse JaiDigitalAds.in’s client data. All vendors must comply with data protection laws (e.g., IT Act, GDPR if applicable). 6. Intellectual Property All trademarks, logos, software, and content provided by JaiDigitalAds.in remain the property of JaiDigitalAds.in. Vendors cannot use the company’s brand or identity for personal promotion without written approval. 7. Service Levels & Liability Vendors must ensure timely delivery and maintain agreed service levels. JaiDigitalAds.in shall not be liable for indirect, incidental, or business losses caused by vendor delays or failures. Vendor’s liability is limited to the value of the contract unless otherwise specified. 8. Termination JaiDigitalAds.in reserves the right to terminate the agreement if: Vendor violates compliance policies. Vendor fails to deliver services as agreed. Vendor engages in fraudulent or unethical practices. Vendor may also terminate with 30 days written notice (subject to pending obligations). 9. Dispute Resolution Any disputes will first be resolved through mutual discussions. If unresolved, disputes will be subject to the jurisdiction of Coimbatore, Tamil Nadu, India courts. 10. Policy Updates JaiDigitalAds.in may revise these Vendor Terms & Conditions from time to time.
